Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and YayNDA LLC ("YayNDA," "we," "us," or "our") governing your access to and use of the YayNDA platform, website at yaynda.com, application at app.yaynda.com, and all related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

The Service is intended for use by businesses and legal professionals. You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. Description of Service

YayNDA provides an AI-powered platform for comparing, analyzing, and merging non-disclosure agreements (NDAs). The Service uses artificial intelligence to generate recommendations, but all final decisions remain with the user. YayNDA does not provide legal advice, and the output of the Service should not be considered a substitute for professional legal counsel.

4. Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

5. Subscription and Payment

Access to the Service requires a paid subscription on a per-seat, monthly basis, except during any free trial period we may offer. By subscribing, you authorize us to charge your designated payment method on a recurring monthly basis. Subscription fees are non-refundable. All sales are final. We reserve the right to change our pricing at any time upon 30 days' prior notice.

We may offer a limited free trial of the Service. Trial terms, including duration and usage limits, will be specified at the time of enrollment. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. We reserve the right to modify or discontinue the free trial at any time.

The Service, including its technology, software, algorithms, design, and content (excluding user-uploaded documents), is the exclusive property of YayNDA LLC and is protected by intellectual property laws, including patent-pending technology. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No ownership rights are transferred to you.

9. User Content

You retain ownership of all documents and content you upload to the Service ("User Content"). By uploading User Content, you grant YayNDA a limited license to process your content solely for the purpose of providing the Service. We will not use your User Content for any other purpose, including training AI models. You represent that you have all necessary rights and permissions to upload and process your User Content through the Service.

The Service uses artificial intelligence to generate recommendations, comparisons, and draft language. AI-generated output is provided as a tool to assist legal professionals and is not legal advice. You are solely responsible for reviewing, validating, and approving all AI-generated output before use. YayNDA makes no representations or warranties regarding the accuracy, completeness, or legal sufficiency of AI-generated output.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YAYNDA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. YAYNDA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YAYNDA IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL YAYNDA, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. YAYNDA'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO YAYNDA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless YayNDA LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.

14. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by one arbitrator. The arbitration proceedings and all related documents shall be confidential.

Each party shall bear its own attorneys' fees and costs in connection with any arbitration or legal proceeding arising under these Terms, regardless of the outcome.

15. Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST YAYNDA.

16. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of laws principles. For any disputes not subject to arbitration, exclusive jurisdiction and venue shall lie in the federal courts located in Newark, New Jersey, or the state courts located in Morris County, New Jersey. You consent to the personal jurisdiction of such courts.

17. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, upon notice to you. You may cancel your subscription at any time through your account settings. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including but not limited to Sections 8, 9, 11, 12, 13, 14, 15, and 16.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

19. Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and YayNDA LLC with respect to the Service and supersede all prior agreements, understandings, and communications.
